Unlimited License
THIS LICENSE AGREEMENT is made on DATE (“Effective Date”) by and between BUYER NAME (hereinafter referred to as the “Licensee”), also, if applicable, professionally known as Licensee, and Sound Streets.
All licenses are non-refundable and non-transferable.
Mechanical Rights. The Licensor grants the Licensee a non-exclusive license to use the Master Recording for the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact discs, digital downloads, other various audio and digital recordings, and any versions or adaptations thereof (collectively, the “Recordings,” individually, the “Recording”) worldwide up to the sale or distribution of an unlimited number of copies of such Recordings, subject to payment to the Licensor of a sum of sixty-nine dollars and ninety-nine cents ($69.99 USD), receipt of which is hereby acknowledged.
Additionally, the Licensee is permitted to distribute unlimited free internet downloads for non-profit and non-commercial use. This license allows unlimited monetized audio streams on platforms such as Spotify, RDIO, Rhapsody, iTunes, etc., and is also eligible for YouTube monetization.
Performance Rights. The Licensor hereby grants the Licensee a non-exclusive license to use the Master Recording in live performances or concerts for profit. The Licensee may receive compensation for performances under this license.
Synchronization Rights. The Licensor grants limited synchronization rights for unlimited online music videos (YouTube, Vimeo, etc.), allowing up to 500,000 monetized video streams across all platforms. A separate synchronization license must be purchased for distribution on television, film, or video games.
Broadcast Rights. The Licensor grants the Licensee the right to broadcast the Recording on an unlimited number of radio stations.
Credit. The Licensee must properly and reasonably credit the original authorship of the Composition in all media and performance formats using the name “Sound Streets” in written form whenever possible, and verbally when applicable.
Consideration. In exchange for the rights granted under this agreement, the Licensee shall pay the Licensor the sum of $99.99 USD and other good and valuable consideration, payable to “Sound Streets,” receipt of which is hereby acknowledged. If the Licensee fails to account to the Licensor, make timely payments, or fulfill any obligations (including insufficient funds), the Licensor shall have the right to terminate this License upon written notice. Such termination will render any unpaid recording, manufacturing, or distribution subject to actionable infringement under applicable law, including, without limitation, the United States Copyright Act, as amended.
Indentification. The Licensee agrees to indemnify and hold the Licensor harmless from and against any claims, losses, damages, costs, and expenses, including but not limited to reasonable attorney’s fees, arising from any breach of the Licensee’s representations, warranties, or agreements under this License.
Audio Samples. The clearance of any third-party samples is the responsibility of the Licensee.
Miscellaneous. This License is non-transferable and limited to the Composition specified above. It constitutes the entire agreement between the Licensor and the Licensee and shall be binding upon both parties and their respective successors, assigns, and legal representatives.
Term. This License shall be effective as of the Effective Date stated above and shall remain in full force for a period of ten (10) years from that date.
